Legal and Compliance Manager / Corporate Secretary

Job Description

The Legal and Compliance Manager/Corporate Secretary will be responsible for overseeing and managing the legal and compliance functions of MMCI and its affiliates. This role is crucial in ensuring that the organization adheres to all applicable laws, regulations, and corporate governance standards. The ideal candidate will possess extensive legal knowledge, strong analytical skills, and the ability to work collaboratively with various stakeholders.

Key Responsibilities:

Legal Oversight:

• Provide legal advice and guidance on a wide range of issues, including contracts, environmental regulations, labor laws, and corporate governance.
• Review, draft, and negotiate contracts, agreements, and other legal documents related to mining projects.
• Conduct legal research and stay updated on relevant laws and regulations in the Philippines, particularly in the mining sector.
• Collaborate with external legal counsel as needed.
Compliance Management:
• Develop, implement, and maintain compliance programs and policies to ensure adherence to legal and regulatory requirements.
• Conduct compliance audits and assessments for all mining projects, both in the permitting stage and those ready for project development.
• Monitor changes in legislation and regulations that may impact the organization and its projects.
• Facilitate training and awareness programs for employees on compliance-related issues.

Corporate Governance:

• Serve as the Corporate Secretary, ensuring that the board of directors and executive management adhere to governance best practices.
• Prepare and maintain corporate records, including minutes of meetings, resolutions, and other documentation.
• Assist in organizing board meetings and annual general meetings, including preparing agendas and reports.

• Ensure compliance with filing requirements for regulatory bodies, including the Securities and Exchange Commission (SEC) and other relevant authorities.

Project Support:

• Provide legal and compliance support for various mining projects, from the permitting stage through to development and operational phases.
• Collaborate with project managers to identify legal risks and develop strategies to mitigate them.
• Assist in obtaining necessary permits and licenses for project development.

Qualifications:

• Juris Doctor (JD) degree or equivalent from a recognized institution
• Admission to the bar in the Philippines
• Experience in legal and compliance roles, preferably in the mining or natural resources sector
• Strong knowledge of Philippine mining laws, regulations, and industry standards
• Excellent analytical, negotiation, and communication skills
• Ability to work independently and manage multiple projects simultaneously
